Khaki A. Scrivner
Biography

Khaki is a member of the transactional team and focuses her practice on corporate and securities, mergers and acquisitions, and real estate. While Khaki was attending law school, she worked as a landman for Devon Energy. Her work involved managing the company’s acreage position in the Barnett Shale, helping lead a multimillion dollar divestiture, and collaborating with a multidiscipline team to implement and grow a strategic joint development project. Prior to joining Bell Nunnally, Khaki worked for a law firm in Oklahoma City. Khaki’s combined business and energy background prove valuable when assisting clients in various business transactions.

  • Represented Dallas-based global tax services and software provider Ryan, LLC in its acquisition of Marvin F. Poer and Company to form the largest property tax practice in the U.S.
  • Represented Dallas-based global tax services and software provider Ryan, LLC in its recent acquisition of Tax Advisory Services Group, LLC (TASG) – a full-service excise tax provider based in Houston providing tax compliance and related services with a focus on motor fuel excise taxes.
  • Advised clients on entity formation matters and business structuring
  • Represented clients in drafting and negotiating a variety of corporate governance documents, including bylaws, consents to act, LLC agreements, purchase and sale agreements, stockholders agreements, and dissolution documents
  • Assisted in representing client in a multi-location grocery store asset acquisition (~$20 million)
  • Conducted in-depth analysis of client’s assets and corporate structure to develop a comprehensive plan for property and trust holdings to ensure asset protection (~$15 million)
  • Helped guide client’s acquisition of several manufactured home parks by identifying applicable city ordinances, navigating municipal offices, and obtaining appropriate licenses for the parks’ operation
  • Assisted in representing lending institutions in financial transactions involving oil and gas assets
  • Represented clients in drafting and negotiating a variety of business agreements, including license agreements, confidentiality and non-disclosure agreements, consulting agreements, and other commercial agreements
  • Advised clients within all segments of the medical marijuana industry on business formation, licensing, and liability protection specific to Oklahoma medical marijuana laws
  • Counseled clients in their acquisition of equity or assets by conducting detailed due diligence of the seller’s various business records and drafting corresponding due diligence reports
  • Assisted in representing clients in the purchase and sale of oil and gas assets
