Joshua T. Smith
Biography

Josh Smith is a member of the firm’s transactional practice focusing on corporate and securities, mergers and acquisitions and real estate. Josh has experience assisting a wide-range of clients with all matters related to their companies, including formation; drafting and negotiating contracts; reviewing and drafting loan documents; obtaining copyrights and trademarks for entity logos, software, and other works; real estate sales and purchases; contracts for the sale of goods; and mergers and acquisitions.


Josh’s corporate experience and education proves valuable when assisting clients in various business transactions in any industry.

Representative Matters
  • Assisted client’s multiple $1-5M acquisitions in various states to rapidly grow business footprint, including Letters of Intent, Asset Purchase Agreements, Lease Assignments and Assumptions, as well as Employment Agreements, Independent Contractor Agreements, Non-Competes, and Non-Disclosure Agreements for key individuals
  • Assisted client’s SaaS asset sale valued at $20M+; involved analysis of multiple purchase price valuation techniques and full due diligence review with direct client contact
  • Lead associate on all negotiations, drafting, and due diligence for stock sale of local charcoal company valued at $21M
  • Applied for and successfully obtained Historically Underutilized Business (“HUB”) status in Texas in conjunction with the Women-Owned Small Business and Women’s Business Center federal contracting programs
  • Represented large fast food chain on all corporate matters, and real estate purchases and leases for new restaurants
  • Lead associate in drafting and filing necessary documentation with engineering firm in obtaining finalized plat in City of Frisco; closed on purchase of lot within the same plat for the purpose of constructing veterinary clinic, which required working with the City of Frisco to obtain several variances prior to construction; worked in combination with other lot owners in entering into a Reciprocal Easement Agreement for the purpose of cost sharing in constructing roads and other shared amenities
