Clients turn to Bell Nunnally for counseling in a full range of corporate, business and securities matters.  We represent domestic and foreign publicly traded companies, privately held, family-owned and venture-backed companies, partnerships, private equity firms and other investment funds, management groups, and entrepreneurs.

Practice areas within our corporate group include corporate governance counseling, general corporate representation, securities matters, e-commerce and internet transactions, energy transactions, international transactions, outsourcing transactions, private equity and venture capital matters, and technology transactions and licensing.  We often function as outside general counsel for clients without internal legal staffs, and assist with all of their legal needs, including structuring, negotiating, and documenting commercial transactions, license agreements, and executive compensation and other employment-related agreements.

Our clients also call on us to advise them on the appropriate entity form for their business, taking into account tax and other considerations.  We routinely assist in structuring new corporations, partnerships, limited liability companies and other business entities, and providing guidance on corporate governance and shareholder and buy-sell agreements.

Bell Nunnally is experienced in representing and advising directors, executive officers and controlling and minority shareholders and other constituencies on governance issues.  These representations include such matters as director duties, disclosure obligations, governance documents, executive compensation, stockholder and director meetings, director and officer liability issues, and regulatory compliance.  Although we have extensive experience in Texas entity laws, we regularly counsel our clients on Delaware entity laws as well.

Bell Nunnally’s securities practice allows us to advise clients on a wide array of public and private issues, including private placements, 1933 Securities Act and 1934 Exchange Act issues, and Regulation D and Rule 144 matters. We represent clients in analyzing, structuring, negotiating and managing diverse issues associated with corporate financing and equity transactions, federal and state securities matters, and periodic compliance and reporting matters.
