Andrew  Dowdy
Biography

Andrew is a member of Bell Nunnally’s Corporate and Securities, Mergers and Acquisitions, and Tax practice areas, focusing on business formation and structures, contract drafting and negotiation, merger and acquisition transactions, and federal and state tax issues. He assists clients in a broad range of general corporate matters and mergers and acquisitions.

Andrew regularly counsels clients on a wide range of tax-related matters, including the tax aspects of mergers and acquisitions, business successions, property exchanges and dispositions, corporate reorganizations, and the formation and operation partnerships, S corporations, and tax-exempt organizations.

Andrew’s clients include corporations, partnerships, limited liability companies, tax-exempt organizations, and family-owned businesses.

  • Represented Dallas-based information management software developer ISN in its transaction with New York-based private equity firm Blackstone Group, a minority investment valuing the company at over $2B.
  • Served as outside general counsel to small and mid-size companies advising on general business matters, transactions, contracts, corporate governance, and taxation.
  • Represented a private equity firm in the acquisition of an education technology company.
  • Represented a privately held oilfield technology company in a stock sale to a publicly traded strategic buyer.
  • Counseled clients on employee equity matters, including stock option and deferred compensation plans, profits interests in LLCs and partnerships, and phantom stock and unit arrangements.
  • Represented start-up and mature businesses in connection with entity choice and formation, tax, capitalization, governance and financing matters.
  • Assisted individual clients and families with disposition planning while minimizing wealth-transfer and income taxes.
  • Represented a marketing firm in a multi-million dollar asset disposition.
  • Represented clients in all aspects of estate planning, probate and estate administration, including preparation and filing gift and estate tax returns, deeds and other transfer instruments, and trusts.
  • Represented business owners in the formation and operation of C and S corporations, limited liability companies, and limited partnerships.
  • Represented companies and investment funds in mergers and acquisitions, securities offerings, and financing transactions.
  • Represented clients in the formation, structure and operation of several 501(c)(3) public charities and private foundations.
