Biography

Nikki Hurst Gibson has extensive experience representing financial institutions and borrowers on commercial  lending transactions; structuring, drafting and negotiating loan documentation for asset-based financing transactions, including accounts receivable, inventory and equipment secured loan transactions; senior and subordinated debt financings; syndicated loans; securities as collateral; and real estate transactions.

Representative Matters
  • Represented Bank of Texas in an $80,067,000 syndicated loan. The construction loan is part of a four-phase development and involves three industrial buildings totaling 1,953,620 square feet on two leasehold estates in the Dallas/Fort Worth area and owned in fee by the D/FW Airport.
  • Represented Chumash Capital Investments, LLC (CCI) in its acquisition of Azimuth Technology, LLC – a manufacturer of tight-tolerance firearm components – from LongVue Capital and Clavis Capital Partners.
  • Represented a seller in a $63M sale of two multi-family projects encompassing 485 units in 36 buildings in The Woodlands.
  • Represented a private equity fund in connection with the formation of a joint venture for the acquisition of three multi-family residential developments in excess of $135,000,000.
  • Represented a financial institution as Administrative Agent and lender in connection with a $77,500,000 syndicated loan to construct a senior living facility in Atlanta, Georgia.
  • Represented a financial institution in connection with a construction loan, including historical tax credits for the rehabilitation of a warehouse.
  • Represented RBK Waterview Investors and AOF Waterview Holdings in the sale of a multi-family apartment complex in Florida, bringing to a conclusion the investment firm’s three-year involvement with the property.
  • Represented a real estate developer in connection with the acquisition and financing of a $35,000,000 multifamily residential development.
  • Represented a real estate developer in connection with a $46,000,000 sale of a multifamily residential development in Houston, Texas.
  • Represented a movie theater chain in connection with the refinancing of a senior secured credit facility and a minority investment to finance the expansion of the chain.
  • Represented a financial institution in the financing of a $21 million facility for the construction of a senior housing facility.
  • Represented a financial institution in the financing of a $12 million revolving credit facility and $6 million term loan for working capital and corporate needs.
  • Represented a financial institution in the financing of a $13 million acquisition and construction loan for student housing in Oklahoma.
  • Represented a real estate developer in connection with the acquisition and financing of a $25 million purchase of a shopping center in Houston, Texas.
  • Represented a financial institution as administrative agent on a $25 million syndicated loan transaction to an oil and gas services company.
  • Represented a financial institution in the initial financing and refinancing of a $24 million purchase of a restaurant chain, including the negotiation of an inter-creditor agreement with the mezzanine lender.
